These Terms govern your use of the DENOVA Tools website and our free engineering calculators. By using the site or the tools, you agree to these Terms.
- The calculators are free and provided as engineering tools — not as professional advice. You remain responsible for verifying outputs for your project.
- Use them lawfully. No reverse engineering, scraping, redistributing, or using outputs to train competing AI.
- We don't store your engineering work. See our Privacy Policy.
- We may improve, change, or pause the service as we evolve the platform.

1Who we are
DENOVA Tools ("DENOVA", "we", "us", "our") operates the website at denovatools.com and provides browser-based engineering calculators for HVAC and building services design.

2What these Terms cover
These Terms of Use form a binding agreement between you ("you", "your", "user") and DENOVA. They apply whenever you:

- Use the free Quick Calculators or DENOVA Lite engineering tools
- Join our email waitlist for launch updates
- Download or use any output (PDF, CSV, JSON) we provide
By accessing or using DENOVA, you agree to these Terms. If you do not agree, please do not use DENOVA.
These Terms are read together with our Privacy Policy, which explains how we handle personal information.
3About the calculators
DENOVA provides browser-based engineering calculation tools for HVAC and building services design. Our tools cite the standards and methodology used to produce each result.
During the soft-launch period:
- Quick Calculators — instant single-result tools, no account needed
- DENOVA Lite — full engineering calculators, no account needed, results displayed in your browser
No payment, sign-in, or subscription is required to use these tools during the soft-launch period.
4Engineering responsibility — please read
DENOVA is a calculation tool, not professional engineering advice. Outputs from DENOVA do not constitute approved engineering designs, certifications, or opinions, and must not be used in place of professional engineering judgment.
Before relying on any DENOVA output for design, construction, regulatory submission, certification, or any commercial purpose, you must independently verify it through professional engineering review.
You are responsible for:
- Verifying that DENOVA's tools and the standards we cite are applicable to your specific project
- Selecting appropriate inputs, design conditions, and engineering assumptions
- Reviewing all outputs for engineering correctness in your project context
- Compliance with local building codes, regulations, and professional standards
- Any engineering decisions, designs, or documents produced using DENOVA outputs
- Your own professional registration, indemnity insurance, and statutory obligations
If you stamp, sign, certify, or otherwise vouch for any document based on a DENOVA calculation, that act and its consequences remain your professional responsibility.
5Acceptable use
You agree to use DENOVA lawfully and reasonably. Specifically, you agree NOT to:
Technical conduct:
- Reverse engineer, decompile, or attempt to extract source code, algorithms, or methodology details from DENOVA
- Scrape, crawl, or automate data extraction from the DENOVA website
- Run scripts, bots, or automated programs against DENOVA without our written consent
- Bypass, attempt to bypass, or interfere with security, rate limiting, or bot-protection controls
- Introduce viruses, malware, or other malicious code
- Test or probe DENOVA's security without prior written authorisation
Output and IP conduct:
- Remove, obscure, or alter watermarks, identifiers, or methodology tags embedded in DENOVA outputs
- Misrepresent the source, authorship, or methodology of DENOVA outputs
- Republish or redistribute DENOVA outputs for commercial gain outside your own engineering practice
- Use DENOVA, its outputs, or its content to train machine learning models, large language models, or AI systems that compete with DENOVA or perform similar engineering calculations
- Use DENOVA to develop a competing engineering calculation product
Lawful use:
- Don't use DENOVA for unlawful purposes
- Don't use DENOVA in violation of applicable sanctions, export controls, or anti-money-laundering laws
- Don't produce outputs intended to misrepresent safety-critical calculations
- Don't harass, defame, or harm others through your use of DENOVA
If we have reasonable grounds to believe you've breached these provisions, we may restrict, suspend, or terminate your access to DENOVA, and may refer the matter to relevant authorities where unlawful conduct is involved.
6Our intellectual property
DENOVA, including the website, calculators, calculation engine, methodology, documentation, designs, and brand, is owned by DENOVA Tools and is protected by intellectual property law.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use DENOVA in accordance with these Terms. No rights to copy, modify, redistribute, or create derivative works are granted to you, except as expressly permitted in these Terms.
The outputs you generate (PDFs, CSV, JSON files) are yours to use within your engineering practice, including for your client deliverables, subject to the restrictions in Section 5.
7Waitlist communications
If you join our email waitlist, you consent to receive occasional emails about DENOVA's launch, new tools, and significant product updates. You can unsubscribe at any time using the link in any email, or by emailing admin@denovatools.com.
We do not send unrelated marketing, share your email with third parties, or sell your information. See our Privacy Policy for full details.
8Service availability
DENOVA is provided on an "as available" basis. We aim for high availability but do not guarantee uninterrupted service. We may need to perform maintenance, fix bugs, or temporarily pause the service.
We may also modify, add, remove, or discontinue features of DENOVA from time to time as we evolve the product. Because the soft-launch period offers free tools only, no compensation is owed for changes during this period.
Where we materially change or discontinue free features in ways that meaningfully reduce their usefulness, we will, where reasonable, give advance notice to waitlist subscribers.
9Disclaimers and warranties
To the maximum extent permitted by law, DENOVA is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, uninterrupted operation, or non-infringement.
Statutory rights preserved. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee or right that cannot be excluded under applicable law in your jurisdiction. In particular:
- Australia: Your rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) are preserved
- EU / UK: Your statutory consumer rights are preserved
- Other jurisdictions: Local consumer protection rights are preserved
10Limitation of liability
To the maximum extent permitted by law:
- DENOVA is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of DENOVA — including loss of profits, loss of business, loss of data, loss of goodwill, or business interruption
- DENOVA is not liable for any damages arising from your professional or engineering decisions, the application of DENOVA outputs to a specific project, regulatory rejection, design errors, construction errors, or third-party claims arising from your work
- Because DENOVA tools are provided free of charge during the soft-launch period, DENOVA's total aggregate liability is limited to the maximum extent permitted by law for free services
The limitations in this section do not apply to liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.
11Changes to these Terms
We may update these Terms from time to time, particularly as we move from soft launch toward commercial launch. The "Last updated" date at the top of this page always reflects the current version.
For material changes, we will notify waitlist subscribers by email and post a prominent notice on the website. Continued use of DENOVA after a change indicates acceptance of the updated Terms.
If you do not accept the changes, please stop using DENOVA.
12Governing law and disputes
These Terms are governed by the laws of Victoria, Australia. The courts of Victoria, Australia have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
Nothing in this section prevents a consumer from bringing a claim in the courts of their habitual residence under their local consumer protection law where applicable law permits.
Before commencing any formal dispute proceedings, both parties agree to attempt in good faith to resolve the dispute through direct contact. Email admin@denovatools.com with a written description of the issue and we will respond within 15 business days.
13Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and DENOVA regarding your use of the site and tools during the soft-launch period
- Severability: If any provision is held unenforceable, the remainder continues in effect
- No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later
- Assignment: You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets
- Force majeure: Neither party is liable for delays or failures caused by events beyond reasonable control
